Platform Terms & Conditions

The operating agreement between Motha Transport™ and every booker, driver, carrier, and enterprise client on the platform — written in plain language, built to match how the product actually behaves.

Motha Transport™ (the “Platform”) is operated by its parent LLC (the “Company”). The Platform is a technology marketplace that connects independent bookers, independent drivers, independent carriers, and independent enterprise clients (collectively, “Users”). The Company is not a transportation carrier, broker-of-record, employer, or insurer of any User. By checking the agreement box, you confirm you have read, understood, and agree to be legally bound by these terms.

1. Independent Subcontractor / Sub-User Status

Every User on this Platform — bookers, drivers, carriers, fleet operators, and enterprise clients — operates as an independent subcontractor or independent sub-user. No User is an employee, agent, partner, joint venturer, or representative of the Company. No agency, employment, or fiduciary relationship is created by use of the Platform. Drivers and carriers control how, when, where, and with what equipment they perform any job they accept. Bookers control which jobs they post, what they pay, and which drivers they engage. The Company does not direct the manner or means of any User's work.

2. Platform Is Not Liable for User Conduct

The Company provides software and dispatch tooling only. The Company is not liable for the acts, omissions, negligence, willful misconduct, accidents, injuries, theft, loss, damage, delay, or non-performance of any User. The Company does not own, operate, lease, or insure any vehicle on the Platform and does not transport persons or property. To the maximum extent permitted by law, all transportation, courier, freight, rescue, and related services are performed solely by the independent User who accepted the job, at that User's sole risk and responsibility.

3. Safety, Caution, and User Due Diligence

Users are strongly advised to exercise safety, caution, and due diligence at all times when posting, accepting, performing, or receiving any service through the Platform. This includes verifying the identity of the counterpart, confirming addresses, photographing items at pickup and dropoff, securing personal property, never riding with anyone you do not feel safe with, complying with all traffic and motor-carrier laws, and using the in-app messaging, tracking, and Motha Rescue features. Users assume all risk of personal interaction with other Users.

4. Verification, Background Checks, and Vehicle Approval

The Company may, but is not required to, verify driver licenses, run background checks, inspect vehicle photos and registration, and tier-classify vehicles. Verification is provided as a convenience and does not constitute a guarantee of any User's identity, fitness, character, driving record, vehicle condition, or insurance coverage. Bookers remain responsible for their own due diligence on any driver they engage.

5. Insurance

Each driver and carrier is solely responsible for obtaining and maintaining valid auto liability insurance, cargo insurance where applicable, workers' compensation where required by law, and any commercial endorsements required for the work they perform. The Company does not provide primary or contingent insurance for any User and is not an additional insured on any User's policy unless a separate written agreement says otherwise. Personal auto policies may exclude commercial use; Users should confirm coverage with their insurer before accepting jobs.

6. Sending Merchandise & Items

When a booker uses the Platform to send an item, courier load, or merchandise, the booker represents that the item is lawful, accurately described, properly packaged, and not a Prohibited Item (see Section 7). The driver may inspect any item before accepting and may refuse without penalty. Risk of loss and risk of damage to the item rests with the booker and the driver who accepted the job; the Company is not the carrier of record and is not liable for any loss, theft, damage, spoilage, or delay.

7a. Bicycle Couriers, Scooters & Mopeds — Radius and Extra-Rider Rules

Non-motorist bicycle couriers are restricted to a twenty-five (25) mile pickup AND drop-off radius and may carry courier loads only — no passengers. Motorist scooter and moped carriers are restricted to a twenty-five (25) mile pickup AND drop-off radius. A scooter or moped carrier may NOT transport an extra rider unless: (i) they have uploaded verification proof to their booker / business profile that clearly shows certified extra seating and the required passenger safety equipment (DOT-rated second helmet, passenger footpegs, grab handle, etc.); and (ii) before each ride and before accepting the booking, the carrier logs the on-bike safety equipment and a current photo of the driver inside the Platform. The Platform may reject, cancel, or refund any bike, scooter, or moped booking that violates the radius cap or the extra-rider verification rule, and may strike or suspend the carrier's account. Bookers who book a bike, scooter, or moped carrier acknowledge and accept these radius and extra-rider safety rules.

7. Prohibited Items & Activities

Users may not post, accept, ship, or transport: illegal drugs or controlled substances outside a licensed program; firearms, ammunition, or weapons in violation of law; hazardous materials without proper HAZMAT credentials and placarding; live animals without appropriate climate and safety controls; human remains; stolen goods; counterfeit goods; cash or bearer instruments above amounts allowed by carrier insurance; or anything in violation of federal, state, or local law. Users may not use the Platform to harass, defraud, discriminate, or violate any law.

8. Payments, Fees, Surcharges & Escrow

All bookings are charged the quoted base rate plus a Platform fee, a 25% gas surcharge, and a 25% toll surcharge on cross-state runs. Funds are held in escrow until the job is confirmed delivered or auto-released per the platform escrow policy. Drivers are paid their net share after Platform fees. Refunds, chargebacks, and disputes are handled per the Dispute & Payout Policy. The Company may withhold or reverse payouts in cases of fraud, dispute, or policy violation.

9. Motha Rescue & Safety Logic

Motha Rescue is a best-effort dispatch tool that re-routes jobs when a driver fails to make pickup, when a booker reports a safety issue, or when a User opens a rescue case. The Company will use commercially reasonable efforts to surface the case to ops and to dispatch another verified driver, but does not guarantee response time, availability, or outcome. Rescue does not replace 911 or local emergency services — Users must call emergency services first in any life-safety situation.

10. Subscriptions, Billing Cycle & 30-Day Lock

All paid plans (Priority, Business, Enterprise, Driver Standard, Driver Pro, Carrier/Fleet) bill on a fixed 30-day cycle. New paid signups enroll under the Free Until First Event program: the User saves a card on file at signup (a $1 verification hold is taken and then credited toward the User's first booking), and the subscription itself is dormant — no recurring charge — until the User completes their first qualifying event (post a load, accept a job, or receive a booking, depending on role). On that first event the 30-day cycle begins and the plan price is charged in full to the saved card. Once a paid cycle has begun, the plan is LOCKED IN for the full 30 days. UPGRADES take effect immediately and are charged on a prorated basis to the saved card. DOWNGRADES are accepted but DO NOT take effect until the end of the current 30-day cycle, and NO REFUND is issued for the unused portion of the higher tier. Auto-renewal continues until the User cancels; cancellation takes effect at the end of the current cycle. Subscription status, the next billing date, the locked-in window, and any scheduled downgrade are visible to the User at all times in /dashboard/subscription.

10a. Signup, Identity & Onboarding

Account creation requires a valid email, phone number, first/last name, role selection (Customer, Driver, Carrier, or Business), explicit acceptance of these Platform Terms, and explicit acknowledgment of the Free Until First Event billing model. New Users land on the subscription/plan-selection page after signup and may not post, accept, or book until they have (i) selected a plan, (ii) saved a card on file, and (iii) for driver and carrier roles, completed identity, license, vehicle, and insurance verification per Section 4. Users may not create more than one active account per person or per tax ID. Misrepresenting identity, using stolen payment instruments, or impersonating another User is grounds for immediate termination and forfeiture of any held funds.

10b. Card on File & Authorization

By saving a card during signup or checkout, the User authorizes the Platform to charge that card for: (a) the $1 verification hold credited to the first booking, (b) the first 30-day subscription charge when the first qualifying event occurs, (c) recurring 30-day subscription renewals, (d) prorated upgrade charges, (e) booking base fares plus the gas and toll surcharges held in escrow per Section 8, (f) any add-on fees enabled per Section 14 of the Dispute & Payout Policy, (g) reconciliation of actual gas/toll costs vs. estimates, and (h) chargeback recovery and Platform fees lawfully owed. The User may update the card at any time; failure to maintain a valid card may pause dispatch, posting, and dashboard access until the card is fixed.

10c. Dashboard, Command Center & Tier Gating

Each User receives a Dashboard (financials, bookings, settings) and a Command Center (the six core action tiles: Post a Lane, Post a Route, Book a Ride, Bookings, Messages, Settings) that adapts to their role and tier. The Command Center navigation bar is visible to every signed-in User. The Tier Switcher shown in the navigation only allows movement between tiers the User actually owns; attempting to switch to a higher tier routes the User to /dashboard/subscription to upgrade. Tiers above the User's plan are visible in read-only preview mode with an Upgrade overlay. Founder, Ghost, and Admin modes are restricted to administrative staff and never available to ordinary Users. Live, Test, and Demo modes follow the same rule: ordinary Users see only their owned tier's live experience; administrators may bypass for support and debugging. All access decisions are enforced server-side via row-level security and tier-permission helpers — client-side checks are UX only.

10d. Document Upload & Verification Requirements

Drivers must upload a current driver license (front + back), a current vehicle registration, current commercial-grade auto insurance for the work they perform, and (for CDL or commercial classes) the appropriate medical card and endorsements. Carriers must additionally upload proof of operating authority (MC/DOT) and any state-required permits. Each document is analyzed by an AI helper for expiration, tampering, and authenticity, then routed to a human admin for the final pending → approved | rejected decision. Pending and rejected documents block dispatch eligibility for the affected vehicle and tier. Drivers and carriers are responsible for replacing expiring documents BEFORE expiration; the Platform sends advance reminders but is not liable for missed reminders. Photos and documents are stored in private buckets accessible only to the owner and authorized admins per Privacy Policy Sections 7 and 12.

10e. Queueing, Posting Loads, Booking & Contracts

Bookers and Businesses post jobs through the Loadboard (Post a Lane / Post a Route / Book a Ride / Send Item) or directly book a verified driver. On post, the Platform broadcasts the offer to eligible drivers within a 5-minute acceptance window and assigns the load to the first qualifying driver to accept; if the window closes with no acceptance, a Motha Rescue admin task is opened per Dispute & Payout Policy Section 9. Drivers join the dispatch queue by toggling availability on their Driver Shell and may post their own routes/availability slots; queue position is influenced by tier, ratings, location, vehicle class, and the Bike/Moped radius rules in Section 7a. Enterprise contracts are negotiated through the Enterprise dashboard, executed through the Contracts area, and override the standard Loadboard flow for the contracted volume; any conflict between an executed enterprise contract and these Terms is governed by the contract for the contracted scope only.

10f. Launch Incentives & Free-Until-First-Event

Promotional incentives — including Free Until First Event, the $1 booking credit, launch-promo discounts, and any add-on or bundle credits — are issued at the Platform's discretion and may be modified or ended at any time on a forward-looking basis. Active credits are visible on the User's subscription and receipts pages. Incentives are non-transferable, have no cash value, and are forfeit if the account is suspended or terminated for cause. Stacking of incentives across accounts owned or controlled by the same person is prohibited.

10g. How Each Tier Operates on the Platform

FREE (Booker): pay-per-use; full Loadboard access; standard Platform fee plus surcharges per Section 8; no priority routing; subject to Free Until First Event card-on-file rules. PRIORITY (Booker): everything in Free plus priority dispatch, reduced Platform fee per active subscription, and elevated support response. BUSINESS: branded business profile, multi-seat invites, business-only Loadboard filters, posting templates, and reduced fees per active subscription; the account owner is responsible for every seat they invite. ENTERPRISE: contracted volume, dedicated Enterprise Command Center, private load board, contract management, and SLA-backed dispatch — controlled by the executed enterprise contract. DRIVER STANDARD: independent subcontractor driving a sedan-class vehicle; standard payout share plus 100% of gas/toll surcharges; standard queue priority. DRIVER PRO: independent subcontractor with elevated routing tools, higher queue priority, and access to premium load filters per active subscription. CARRIER / FLEET: operates as an independent carrier; onboards and is solely responsible for sub-drivers and sub-vehicles; CDL & Fleet KPIs, private fleet load board, contracts area, and Carrier Hub are unlocked. All tiers share the same six-tile Command Center and the same Free Until First Event, 30-day lock, upgrade-prorate, and downgrade-at-cycle-end rules in Section 10. Verification, escrow, surcharge, and dispute rules apply uniformly across every tier.

11. Ratings, Strikes & Account Termination

The Company may suspend, throttle, downgrade, or permanently terminate any account for: missed pickups, repeated cancellations, low ratings, verified disputes, fraud, safety violations, false documentation, harassment, or any breach of these terms. Strikes and reviews are recorded on the User's account. The Company's decision is final.

12. Indemnification

Each User agrees to defend, indemnify, and hold harmless the Company, its parent LLC, members, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, fines, penalties, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the User's use of the Platform; (b) any job the User posted, accepted, performed, or received; (c) the User's violation of these terms or any law; or (d) the User's negligence or willful misconduct.

13. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. THE COMPANY DOES NOT WARRANT THE CONDUCT, IDENTITY, OR FITNESS OF ANY USER.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES PAID BY THAT USER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

15. Arbitration & Class-Action Waiver

Any dispute arising out of or related to the Platform shall be resolved by final and binding individual arbitration administered by a recognized U.S. arbitration provider, seated in the LLC's home state, under that provider's commercial rules. EACH USER WAIVES THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

16. Governing Law

These terms are governed by the laws of the U.S. state in which the LLC is registered, without regard to its conflict-of-laws rules. Venue for any non-arbitrable claim lies exclusively in the state or federal courts of that state.

17. Changes to These Terms

The Company may update these terms at any time. Material changes will be surfaced in-app and may require re-acceptance before next use. Continued use of the Platform after the effective date of any update constitutes acceptance.

I have read and agree to the Motha Transport™ Platform Terms & Conditions, the gas/tolls/escrow surcharge policy, and the safety and Motha Rescue policies. I confirm I am at least 18 years of age and authorized to enter this agreement.
